Please read these Terms carefully before using the Nodiq platform. These Terms constitute a legally binding agreement between you and Nodiq. By accessing or using Nodiq, you agree to be bound by these Terms in their entirety. If you do not agree, you must not use the Service.
Description of Service
Nodiq is an AI Expert Intelligence Platform that connects users with AI-generated expert analysis and strategic guidance across business domains. The Service employs a multi-model AI architecture — including models from Anthropic (Claude), OpenAI (GPT-4o), Google (Gemini), and Perplexity — to route user queries to the most relevant expert persona and generate structured four-layer strategic responses (the "Quad-Shell" output).
Nodiq's output is designed to assist users in their decision-making processes. It does not constitute professional advice of any kind, including but not limited to legal, financial, medical, tax, or regulatory advice.
Eligibility and Account Registration
To use the Service, you must:
- ●Be at least 18 years of age or the age of majority in your jurisdiction. If you are under 18, you must have express consent from a parent or legal guardian who accepts these Terms on your behalf.
- ●Have the legal capacity to enter into a binding contract.
- ●Provide accurate and complete registration information.
- ●Maintain the security of your account credentials.
You are responsible for all activity that occurs under your account. Nodiq reserves the right to suspend or terminate accounts where registration information is found to be inaccurate, fraudulent, or where these Terms have been violated.
Subscription Plans and Billing
3.1 Available Plans
Nodiq offers the following subscription tiers:
3.2 Billing and Payment
All paid subscriptions are billed through Stripe. By subscribing, you authorise Nodiq to charge your nominated payment method on a recurring basis in accordance with your selected billing cycle (monthly or annual). Annual plans are billed in full at the commencement of the subscription period. Prices are displayed in USD and are exclusive of any applicable taxes.
3.3 Refunds and Cancellations
Subscriptions may be cancelled at any time via the Settings page. Cancellations take effect at the end of the current billing period; no refunds are issued for unused portions of a billing cycle. Nodiq reserves the right to issue refunds at its sole discretion on a case-by-case basis.
3.4 Plan Changes
Upgrades take effect immediately; the unused balance of your current plan will be applied as a pro-rated credit. Downgrades take effect at the start of the next billing cycle.
3.5 Pricing Changes — 60-Day Notice
Nodiq is committed to pricing transparency. We will never change your subscription price without giving you advance notice.
Nodiq reserves the right to modify subscription pricing at any time. However, for existing paid subscribers, any price increase will not take effect until at least sixty (60) days after Nodiq provides written notice to the email address associated with your account.
During this 60-day notice period, you may cancel your subscription at any time without penalty and receive a pro-rated refund for the unused portion of your current billing cycle. If you do not cancel before the end of the notice period, your continued use of the Service will constitute acceptance of the new pricing.
Fair Use Policy (Team Plan — Unlimited Queries)
"Unlimited" means no fixed monthly query cap — not unlimited computational resources. This policy protects all Team plan users from the impact of abnormal usage by a small number of accounts.
The Team plan is offered on the basis of fair and reasonable use. "Unlimited" refers to the absence of a fixed monthly query limit for normal business use — it does not permit automated, bulk, or programmatic usage that places a disproportionate load on the platform.
4.1 What Constitutes Abnormal Usage
- ●Generating more than 500 queries in any 24-hour period from a single account.
- ●Automated or scripted query submission without human interaction.
- ●Use of bots, crawlers, or programmatic tools to systematically extract content.
- ●Running identical or near-identical queries in rapid succession for bulk content generation.
- ●Usage patterns consistent with reselling, republishing, or aggregating Nodiq outputs at scale.
- ●API-level access or reverse-engineering of the platform to simulate multiple users under one account.
4.2 Nodiq's Rights Under This Policy
Where Nodiq identifies usage it reasonably considers to fall outside fair use, Nodiq reserves the right to apply rate limiting, contact the account holder, suspend access pending investigation, or terminate the account in cases of repeated violation with a pro-rated refund for unused periods.
For accounts with genuinely high-volume legitimate business needs, Nodiq encourages direct contact to discuss a custom enterprise arrangement.
Referral and Credits Programme
Nodiq operates a referral programme whereby existing users may earn account credits by inviting new paying users to the Service:
- ●Referring user receives a USD $10 account credit upon the referred user's first successful payment.
- ●Credits have no cash value and may not be transferred, sold, or exchanged.
- ●Credits are applied to future invoices and do not extend beyond the account to which they were issued.
- ●Nodiq reserves the right to modify, suspend, or terminate the referral programme at any time without notice.
- ●Fraudulent referral activity will result in immediate account suspension and forfeiture of all credits.
Acceptable Use Policy
You agree to use Nodiq solely for lawful purposes. The following activities are strictly prohibited:
- ●Submitting queries that seek to facilitate illegal activity, including fraud, money laundering, or circumvention of applicable laws.
- ●Using the Service to harass, threaten, or harm any individual or group.
- ●Attempting to reverse-engineer, copy, or replicate Nodiq's expert personas, routing logic, Hexa-Core DNA framework, or AI pipeline.
- ●Using outputs generated by Nodiq to train, fine-tune, or develop AI or machine learning models that compete with Nodiq or its underlying model providers.
- ●Circumventing usage limits or accessing the Service through automated means without express written consent.
- ●Uploading or transmitting malicious code, viruses, or any software designed to disrupt or damage systems.
- ●Reselling, sublicensing, or commercialising outputs of the Service without prior written authorisation.
- ●Impersonating any person or entity, or misrepresenting your affiliation with any organisation.
Nature of AI-Generated Outputs
7.1 No Professional Advice
All content generated by Nodiq is produced by artificial intelligence models and is provided for informational and educational purposes only. It does not constitute and must not be relied upon as professional legal, financial, medical, tax, investment, regulatory, or any other form of licensed professional advice. Where Legal or Finance expert personas are used, automated disclaimers are appended as a reminder to seek qualified professional guidance.
7.2 Accuracy and Completeness
AI-generated outputs may contain errors, omissions, or outdated information. Nodiq does not warrant the accuracy, completeness, or fitness for any particular purpose of any output. You are solely responsible for verifying information before acting upon it.
7.3 No Reliance
You acknowledge that AI systems can produce plausible but incorrect outputs (commonly referred to as "hallucinations"). Nodiq expressly disclaims liability for any loss, damage, or adverse consequence arising from reliance on AI-generated content.
Intellectual Property
8.1 Nodiq's IP
The Nodiq platform, including its expert persona registry, Quad-Shell architecture, Hexa-Core DNA framework, routing logic, user interface, design system, and all underlying technology, is the exclusive intellectual property of Nodiq and is protected by applicable copyright, trade secret, and intellectual property laws.
8.2 User Content
You retain ownership of the queries, documents, and data you submit to Nodiq. By submitting content, you grant Nodiq a limited, non-exclusive, royalty-free licence to process your content solely for the purpose of providing the Service to you.
8.3 Output Ownership
Subject to your compliance with these Terms and payment of applicable fees, Nodiq grants you a non-exclusive, non-transferable licence to use outputs for your personal or internal business purposes. You may not resell or distribute AI-generated outputs as your own original work without attribution.
8.4 Prohibition on Competitive Use
You may not use any outputs, data, expert response patterns, or structural elements of the Service to train, evaluate, or improve any AI or machine learning system without Nodiq's prior written consent. This prohibition applies regardless of how the outputs are obtained.
Privacy, Data Security, and Human Review Disclosure
Nodiq treats data privacy as a core product value, not a compliance checkbox. Full details are published at nodiq.ai/security.
9.1 Privacy Commitment
Nodiq's approach to data privacy and security is governed by our Privacy Policy, available at nodiq.ai/security, which is incorporated into these Terms by reference.
9.2 No AI Training on Your Data
Nodiq does not use your queries, submitted content, or generated outputs to train, fine-tune, or improve any AI or machine learning model — whether operated by Nodiq or any third party. Your data is processed solely to deliver the Service to you. This commitment applies to all subscription tiers, including the Free Trial, and requires no opt-in or opt-out.
9.3 No Human Review of Your Conversations
Nodiq does not employ human reviewers to read, annotate, or evaluate your queries or AI-generated responses. Your conversations are not reviewed by Nodiq staff or contractors for any purpose, including quality improvement, content moderation, or model training. Where a legal obligation requires review, Nodiq may access account-level metadata (not conversation content) in accordance with applicable law.
9.4 Third-Party AI Providers
To deliver the Service, your queries are transmitted to third-party AI model providers including Anthropic, OpenAI, Google, and Perplexity. Each provider processes data in accordance with their own terms and privacy policies. Nodiq selects providers whose data handling commitments are consistent with Nodiq's privacy standards.
9.5 Data Practices Summary
- ●Query data is associated with your account to support conversation threading and service continuity.
- ●All data is encrypted in transit and at rest.
- ●Nodiq does not sell your personal data to third parties under any circumstances.
- ●File analysis content is processed transiently and not stored beyond the session.
- ●You may request deletion of your account and associated data at any time via the Settings page.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NODIQ AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE.
IN NO EVENT SHALL NODIQ'S TOTAL AGGREGATE LIABILITY EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU IN THE THREE (3) MONTHS PRECEDING THE CLAIM, OR (B) USD $50.
Jurisdiction-Specific Note: Some jurisdictions — including the European Economic Area, the United Kingdom, the United Arab Emirates, Singapore, and Australia — do not permit the exclusion or limitation of certain warranties or liabilities. In those jurisdictions, some or all of the above limitations may not apply and you may have additional legal rights. Nothing in these Terms limits Nodiq's liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.
Indemnification
You agree to indemnify, defend, and hold harmless Nodiq and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or in connection with:
- ●Your use of the Service in material violation of these Terms.
- ●Your User Content or any content you submit through the Service.
- ●Your knowing violation of any applicable law or intentional infringement of third-party rights.
- ●Any dispute between you and a third party arising from your misuse of Nodiq outputs beyond their intended advisory purpose.
Cap on Indemnification Liability: Your total aggregate liability under this indemnification clause shall not exceed the greater of (a) the total fees paid by you to Nodiq in the twelve (12) months preceding the event giving rise to the claim, or (b) USD $500. This cap applies to all indemnified losses combined, including legal fees and defence costs.
This indemnification obligation does not apply to the extent that a claim arises from Nodiq's own negligence, wilful misconduct, or breach of these Terms.
Disclaimers of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION.
Nodiq does not warrant that: (a) the Service will meet your specific requirements; (b) outputs will be accurate, complete, or reliable; (c) the Service will be available at any particular time; or (d) defects will be corrected. The Service is subject to usage limits imposed by third-party AI providers, including API rate limits and model availability.
Service Availability and Modifications
Nodiq operates on cloud infrastructure subject to third-party API constraints. Response times may vary, particularly when the Research Layer is active. Nodiq does not guarantee any specific response time or uptime SLA on Free Trial or Lite plans.
Nodiq reserves the right to modify, suspend, or discontinue any aspect of the Service with or without notice; adjust query limits or feature availability at any time, subject to the 60-day pricing notice requirement in Section 3.5; and update these Terms, with continued use constituting acceptance of material changes.
Termination
Either party may terminate this agreement at any time. Nodiq may suspend or terminate your access immediately, without liability, if it determines in its sole discretion that you have violated these Terms, engaged in fraudulent activity, breached the Fair Use Policy (Section 4), or posed a risk to the Service or other users.
Upon termination: your access will cease immediately; any outstanding fees remain due; unused referral credits are forfeited. Provisions relating to intellectual property, disclaimers, limitation of liability, indemnification, and governing law survive termination.
Data Portability: Prior to account termination, you may export your consultation history and generated outputs through the Service dashboard. Nodiq will retain your data for thirty (30) days following account termination to allow for data recovery requests, after which all personal data will be permanently deleted in accordance with our Privacy Policy.
Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Nodiq is registered, without regard to conflict of law principles.
Any dispute arising out of or relating to these Terms shall first be subject to good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration in accordance with the rules of a recognised arbitration body in the governing jurisdiction. Either party may seek injunctive or equitable relief from a court of competent jurisdiction to prevent irreparable harm.
You waive any right to participate in a class action lawsuit or class-wide arbitration against Nodiq.
General Provisions
Entire Agreement: These Terms, together with the Privacy Policy at nodiq.ai/security, constitute the entire agreement between you and Nodiq regarding the Service.
Severability: If any provision is found to be unenforceable, the remaining provisions shall continue in full force and effect.
Waiver: Nodiq's failure to enforce any right or provision shall not constitute a waiver of such right or provision.
Assignment: You may not assign your rights or obligations without Nodiq's prior written consent. Nodiq may assign these Terms without restriction.
Force Majeure: Nodiq shall not be liable for failures resulting from causes beyond its reasonable control, including third-party AI provider outages, internet failures, or government actions.
Notices: Nodiq will provide material notices — including pricing changes — to the email address associated with your account. Notices are deemed received 24 hours after dispatch.
Language: These Terms are drafted in English. In the event of any conflict between the English version and a translation, the English version shall prevail.
